1. Purpose

This Non-Disclosure Agreement (the "Agreement") is entered into between the disclosing party ("Seller") and the receiving party ("Recipient") to protect confidential business information shared in connection with the potential acquisition of the business listed on Global Deal Bridge.

2. Confidential Information

Confidential Information includes, without limitation: audited financial statements, customer contracts, employee data, trade secrets, cap tables, proprietary software, and any information marked as confidential.

3. Obligations of the Recipient

Recipient agrees to hold all Confidential Information in strict confidence, use it solely for evaluating a potential transaction, and not disclose it to any third party without prior written consent.

4. Term & Jurisdiction

This Agreement remains in effect for 24 months from the date of signature. It is governed by the laws of Switzerland; disputes shall be resolved in Geneva.

5. Return & Destruction

Upon request or termination of discussions, Recipient shall return or destroy all Confidential Information within 14 days and certify such destruction in writing.
